These Terms of Service ("Terms") govern your access to and use of the website of NextPath Solutions Limited ("NextPath", "we", "us") and, unless otherwise agreed in writing, our services. By using this website, you agree to these Terms.

1. Services

NextPath provides HR consultancy and administration services (including HR advisory, payroll administration, and HRIS consultation) and technology platforms. The scope of any services we provide to a client is defined in the individual service agreement between NextPath and that client. If there is any conflict between these Terms and a service agreement, the service agreement prevails. NextPath does not provide recruitment, placement, or staffing services. Our technology platforms (such as PocketPaw) are governed by their own terms of service and privacy policies, which apply in place of these Terms to your use of those platforms.

2. No Legal, Tax, or Professional Advice

NextPath is an HR consultancy, not a law firm, accounting firm, or licensed professional adviser. Content on this website and materials we deliver are prepared with reference to applicable Hong Kong requirements but do not constitute legal, tax, or other professional advice. You should obtain advice from a qualified professional for matters requiring such advice.

3. Acceptable Use

You agree not to misuse this website, including by attempting unauthorised access, introducing malicious code, probing or scanning the website for vulnerabilities, or using the website in breach of applicable law. You also agree not to scrape, crawl, harvest, or otherwise extract content from this website by automated means, except by automated agents (such as search engine and AI crawlers) that identify themselves and observe the directives in our robots.txt file. Any use of our content by such agents remains subject to clause 4 and to applicable law.

We monitor requests made to this website for security purposes, and may rate-limit, restrict, or block access from any source where we consider it necessary to protect the security or availability of the website. 6. Online Appointment Booking

Our Contact page allows you to request a consultation through Microsoft Bookings, a service provided by Microsoft. Your use of that service is also subject to Microsoft's own terms. A booking is a request for an introductory consultation; we may reschedule or cancel it and will notify you if we do. An introductory consultation is provided for general information only and does not create a client relationship, or any obligation on either party, unless and until we agree an engagement in writing. Our Privacy Policy explains how booking information is handled.

7. Limitation of Liability

To the fullest extent permitted by law: (a) NextPath shall not be liable for any indirect, incidental, special, or consequential loss, or any loss of profits, revenue, data, or goodwill, arising from the use of this website or our services; and (b) NextPath's total aggregate liability arising out of or in connection with our services shall not exceed the fees paid by you to NextPath for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law.

8. Indemnity

You agree to indemnify NextPath against claims, losses, and expenses arising from your breach of these Terms or misuse of this website.

9. Termination and Suspension

We may suspend or terminate access to this website (or any part of it) at any time. Clauses which by their nature should survive termination (including clauses 4, 5, 7, 8 and 12) shall survive.

10. Changes to These Terms

We may update these Terms from time to time. The updated version takes effect when posted on this page, with the "Last updated" date revised. Continued use of the website after changes constitutes acceptance.

11. Severability and Third-Party Rights

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. No person other than you and NextPath has any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.
